This Buyer Agreement ("Agreement") is between:

("ReloIQ", "we", "us", "our")
and the business identified by the person signing this Agreement ("Buyer", "you", "your").
By signing, you confirm that you are entering into it for business purposes and have authority to bind the Buyer.
ReloIQ provides business relocation intelligence generated from publicly available company information and other relevant business signals.
A ReloIQ lead represents a potential or likely business relocation opportunity.
A lead does not mean that:
ReloIQ does not guarantee leads, enquiries, quotations, contracts, revenue or business outcomes.
ReloIQ may provide indicators such as:
These are internal estimates intended to help Buyers assess opportunities.
They are not statements of fact or guarantees.
ReloIQ may provide a Buyer with one or more free sample leads.
A free sample is provided solely so the Buyer can assess whether ReloIQ's relocation intelligence is suitable for its business.
The Buyer must accept this Agreement before receiving full sample lead details.
Providing a free sample does not oblige ReloIQ to provide further free leads.
Where the Buyer purchases individual leads or subscribes to a ReloIQ plan:
ReloIQ will clearly display the applicable price, billing interval and lead allowance before the Buyer commits to payment.
A lead is considered delivered when ReloIQ makes the full lead information available to the Buyer through an agreed delivery method.
Delivery methods may include:
A failure by the Buyer to read, open, contact or act upon a delivered lead does not mean that the lead was not delivered.
The Buyer may choose preferences including:
Delivery preferences are operational settings and may be changed without signing a new Agreement.
ReloIQ may use email as a fallback method where another selected delivery method is unavailable.
If a business supplied as a paid lead confirms that:
the Buyer may report the lead to ReloIQ.
Where ReloIQ reasonably verifies that the lead qualifies under this section, ReloIQ may provide a replacement lead or account credit.
Replacement credits are the normal remedy for an unusable lead.
ReloIQ may refuse a replacement where:
The Buyer is responsible for deciding whether and how to contact any business supplied by ReloIQ.
The Buyer must comply with all laws applicable to its own marketing and sales activity, including applicable UK data protection and electronic marketing requirements.
The Buyer must honour objections, opt-outs and requests not to be contacted.
ReloIQ does not give the Buyer permission to carry out any communication that would otherwise be unlawful.
Unless ReloIQ agrees otherwise in writing, leads are supplied solely for the Buyer's own internal business development.
The Buyer must not:
The Buyer may share lead information internally with employees or contractors who reasonably need it to pursue the opportunity.
Unless a particular lead is expressly described as exclusive, ReloIQ does not guarantee exclusivity.
ReloIQ may supply the same relocation opportunity to a limited number of suitable Buyers.
ReloIQ uses third-party and publicly available information.
Although ReloIQ uses filtering and scoring intended to improve relevance, external information may be incomplete, delayed, inaccurate or subsequently changed.
The Buyer must make its own commercial assessment before relying on a lead.
Each party is responsible for complying with data protection law that applies to its own activities.
The Buyer is responsible for determining the lawful basis and requirements applicable to any subsequent processing, marketing or communication it carries out using information received from ReloIQ.
ReloIQ's handling of personal information is explained in the ReloIQ Privacy Policy.
Information supplied by ReloIQ that is not otherwise publicly available must be treated as confidential and used only for the purposes permitted by this Agreement.
This does not prevent use of information that is independently obtained or already lawfully public.
ReloIQ may suspend lead delivery where:
The Buyer may cancel a subscription using the cancellation method made available by ReloIQ.
Unless otherwise stated at purchase, cancellation stops future renewals and does not normally reverse charges already incurred for the current billing period.
Any remaining entitlement following cancellation will be handled according to the plan terms shown at purchase.
ReloIQ may suspend or terminate access where the Buyer:
Termination does not remove rights or obligations that arose before termination.
Nothing in this Agreement limits or excludes liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation or death or personal injury caused by negligence where such liability cannot legally be excluded.
To the fullest extent permitted by law, ReloIQ is not liable for:
Subject to the paragraph above, ReloIQ's total aggregate liability arising from this Agreement in any 12-month period will not exceed the greater of:
(a) the fees paid by the Buyer to ReloIQ during that period; or
(b) £100.
ReloIQ may update this Agreement from time to time.
Material changes will not retrospectively alter the terms governing leads already purchased.
Where a material change affects an ongoing subscription, ReloIQ will provide reasonable notice before the updated terms apply.
ReloIQ will retain records of the version accepted by each Buyer.
ReloIQ may send contractual or service notices to the business email provided by the Buyer.

This Agreement is governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes arising from this Agreement, subject to any mandatory legal rights that cannot lawfully be excluded.
